EUROAPOTHECA sold shares in the company holding a pharmacy chain in Sweden to a related company

EUROAPOTHECA, UAB entered into a share purchase agreement with PARETAS B.V., a company belonging to the „Vilniaus prekyba“ group of companies, under which it sold PARETAS B.V. its shares in Euroapotheca Holding SWE AB, the company that holds 50% of the pharmacy chain in Sweden „Kronans Apotek“.

The transaction is part of the restructuring of the „Vilniaus prekyba“ group announced last October. It is forseen that, once the planned changes are fully implemented, the current „Vilniaus prekyba“ group will be split into two structurally separate and independent parts: a group of companies operating in the Baltic region, which will be controlled by UAB „Vilniaus prekyba“, and a group of businesses operating in other countries, which will be controlled by PARETAS B.V. The controlling company of both UAB „Vilniaus prekyba“ and PARETAS B.V. will be METODIKA B.V. The entire restructuring process of the „Vilniaus prekyba“ group is planned to be completed in the first half of 2027.

Since 2022 Euroapotheca Holding SWE AB has indirectly owned the “Kronans Apotek“ pharmacy chain operating in Sweden, in equal shares with „Oriola Corporation“.

In 2025, „Kronans Apotek’s“ revenue was EUR 1.2 billion, and the pharmacy chain comprised 483 pharmacies, including franchise-based pharmacies.

EUROAPOTHECA, UAB will continue to manage its physical pharmacy chains in the Baltic countries, as well as its online pharmacies and wholesale pharmaceutical trade companies.

Since December 2025, PARETAS B.V. also owns food retail chains – “Stokrotka“ in Poland and “T Market“ in Bulgaria.
